Kinnect Demo Version Terms

Version 1.0 · Last updated October 24, 2026

Summary (for convenience only; the Terms below control)

  • You're getting free, private access to a demo version of Kinnect, for one named user, to decide whether your company should buy it.
  • Access lasts 7 days from when we provision it. We can extend it, and we can suspend or end it at any time.
  • It runs on sample data and does not connect to your systems. Don't put real employee, candidate or customer data in it.
  • What you see in the demo is our confidential information. What you tell us about your company is yours, and we keep it confidential.
  • Don't share your login, copy the product, test its security, or use it to build or benchmark a competing product.
  • It's provided as is, for free, with no warranties, and our liability is capped.

1. Agreement and acceptance

1.1 These Kinnect Demo Version Terms (the "Terms") are an agreement between Kandor Solutions Inc., a Florida corporation ("Kinnect", "we", "us"), and the company or other organization you represent ("Customer" or "you").

1.2 You accept these Terms by checking the box on the access request form, or by accessing or using the Demo Environment. By accepting, the individual who submits the request (the "Requester") confirms that they are an employee of Customer, are at least 18 years old, and have authority to bind Customer to these Terms. If you don't have that authority, or don't agree to these Terms, don't request access or use the Demo Environment.

1.3 You agree that checking the box is your electronic signature and has the same effect as a signature in ink, and that we may record and keep evidence of your acceptance, including the date and time, IP address, browser information and the version of these Terms you accepted.

2. Definitions

"Authorized User" means the Requester, or another Customer employee we approve in writing, to whom we issue login credentials.

"Customer Data" means any data or content that Customer or its Authorized User enters into or uploads to the Demo Environment, other than Sample Data.

"Demo Environment" means the instance of the Kinnect software-as-a-service platform, and any related software, interfaces, documentation, sample reports and materials, that we make available to you under these Terms.

"Evaluation Purpose" means Customer's internal evaluation of whether to purchase a subscription to Kinnect for Customer's own internal business use.

"Evaluation Period" has the meaning in Section 5.

"Feedback" means any suggestions, ideas, comments or other feedback about Kinnect or the Demo Environment.

"Personal Data" means information that relates to an identified or identifiable natural person, and any information defined as "personal data", "personal information" or a similar term under applicable data protection law.

"Sample Data" means the fictional company, employee, position, requisition, financial and other data that we provide in the Demo Environment.

"Usage Data" means information about how the Demo Environment is accessed and used, such as log, device, session, feature and performance data.

3. Eligibility and approval

3.1 Access is offered only to organizations that own and manage their own headcount plan and are evaluating Kinnect for their own internal use. It is not available to competitors of Kinnect, to anyone who builds, sells, implements or advises on headcount, workforce planning, HR or financial planning software or services, or to anyone acting for another person or organization.

3.2 We review every request and may approve or decline any request in our sole discretion, without giving a reason. We may verify the information you provide, including through public sources.

3.3 You agree that the information in your request is accurate and complete. If it is not, or if Section 3.1 applies to you, you are not permitted to use the Demo Environment, any access we granted ends automatically, and Section 7 (Restrictions) and Section 9 (Confidentiality) continue to bind you.

4. Access and license

4.1 License. Subject to these Terms, during the Evaluation Period we grant Customer a limited, revocable, non-exclusive, non-transferable, non-sublicensable right for its Authorized User to access and use the Demo Environment solely for the Evaluation Purpose.

4.2 One Authorized User. Access is issued to one Authorized User with one role, unless we agree otherwise in writing (email is enough). Credentials are personal to the Authorized User. Customer is responsible for keeping credentials confidential, for all activity under them, and for its Authorized User's compliance with these Terms. Tell us promptly at security@kinnectx.com if you suspect unauthorized use.

4.3 Our right to change. We may change, update or remove features of the Demo Environment, reset or replace its Sample Data, or move Customer to a different environment, at any time. The Demo Environment may differ from the generally available product.

4.4 Reservation of rights. All rights not expressly granted in these Terms are reserved by Kinnect. No rights are granted by implication or estoppel.

5. Evaluation Period, suspension and termination

5.1 Term. The "Evaluation Period" starts when we provision your access and ends 7 days later, unless we extend it in writing (email is enough) or it ends earlier under this Section.

5.2 Suspension and termination by us. We may suspend, limit or end access, or terminate these Terms, at any time, for any reason or no reason, with or without notice. Without limiting that right, we expect to do so if we believe you have breached these Terms, provided inaccurate information, or created a security, legal or operational risk.

5.3 Termination by you. You may stop using the Demo Environment at any time and may ask us to close your access by emailing demo@kinnectx.com.

5.4 Effect of ending. When the Evaluation Period or these Terms end: (a) the license in Section 4 ends and you must stop using the Demo Environment; (b) each party must return or destroy the other's Confidential Information as described in Section 9.5; and (c) we will delete or de-identify Customer Data as described in Section 8.6.

5.5 Survival. Sections 1, 2, 3.3, 4.4, 5.4, 5.5 and 7 through 17 survive the end of the Evaluation Period or termination of these Terms.

6. No connection to your systems; Sample Data

6.1 The Demo Environment runs on Sample Data. It is not connected to, and you must not connect it to, any of Customer's systems, including planning, HR, recruiting, payroll or finance systems. Integrations shown in the Demo Environment are shown with Sample Data only.

6.2 Sample Data is fictional. Any resemblance to real people, positions or companies is coincidental. Sample Data and the outputs produced from it, such as plans, forecasts, variances and scenarios, are illustrative only.

6.3 Do not enter real data. Customer must not enter or upload into the Demo Environment any Personal Data, any data about Customer's actual employees, candidates, contractors or customers, or any other confidential or regulated production data, including health, financial account, government identifier or other sensitive data. If Customer does so anyway, Section 8 applies, Customer is solely responsible for that data, and we may delete it at any time without notice.

7. Restrictions

Customer will not, and will not allow any person to:

  1. (a) use the Demo Environment for any purpose other than the Evaluation Purpose, or for the benefit of any third party;
  2. (b) share, sell, rent, lease, lend, sublicense, distribute, time-share, or otherwise make the Demo Environment or credentials available to anyone other than the Authorized User;
  3. (c) copy, modify, translate, or create derivative works of any part of the Demo Environment;
  4. (d) reverse engineer, decompile, disassemble, or attempt to derive the source code, models, algorithms, data structures or underlying ideas of the Demo Environment, except to the extent applicable law expressly permits it despite this restriction;
  5. (e) access or use the Demo Environment to build, design, train, improve or support a competing product or service, or to copy any of its features, functions, workflows, interfaces or graphics;
  6. (f) perform or publish any benchmark, performance, security, or comparative test or analysis of the Demo Environment without our prior written consent;
  7. (g) use any robot, spider, scraper, crawler, AI agent or other automated means to access, extract data from, or interact with the Demo Environment, or use the Demo Environment or its content or outputs to train, fine-tune or evaluate any artificial intelligence or machine learning model;
  8. (h) frame, mirror, record, screenshot or capture the Demo Environment for distribution outside Customer, except screenshots shared internally within Customer for the Evaluation Purpose;
  9. (i) probe, scan, or test the vulnerability of the Demo Environment, breach or circumvent any security, authentication or access control, or access any part of the Demo Environment, or any other customer's environment, that we did not make available to you;
  10. (j) interfere with or disrupt the integrity or performance of the Demo Environment, or upload any virus, malware or other harmful code;
  11. (k) remove, alter or obscure any proprietary notice, label or mark;
  12. (l) use the Demo Environment in violation of any applicable law, including export control and sanctions laws; or
  13. (m) use the Demo Environment to store or process any data in breach of Section 6.3.

8. Data protection

8.1 Our own data. We collect contact and business information about the Requester and Authorized User (such as name, work email, title, company and answers you give us) and Usage Data, and we use it to review your request, provide and secure the Demo Environment, support your evaluation, follow up with you about Kinnect, and improve our products. We act as an independent controller (or "business") for that information and handle it under our Privacy Policy at kinnectx.com/privacy-policy. Marketing emails are separate from these Terms, and you can unsubscribe at any time.

8.2 Customer Data containing Personal Data. Customer must not put Personal Data into the Demo Environment (Section 6.3). If, despite that, Customer Data contains Personal Data, then for that Personal Data only: (a) Customer is the controller (or "business") and Kinnect is the processor (or "service provider"); (b) Customer warrants that it has all rights, notices and lawful bases needed for Kinnect to process it under these Terms; and (c) the rest of this Section 8 applies.

8.3 Processing terms. For Personal Data covered by Section 8.2, Kinnect will:

  1. (a) process it only to provide the Demo Environment, on Customer's documented instructions, which are these Terms and Customer's use of the Demo Environment, unless the law requires otherwise;
  2. (b) ensure that personnel who can access it are bound by confidentiality obligations;
  3. (c) maintain reasonable technical and organizational measures designed to protect it against unauthorized or unlawful processing and accidental loss, destruction or damage;
  4. (d) use subprocessors (such as our cloud hosting, email and infrastructure providers) under written terms that are no less protective than this Section, and remain responsible for them. Customer gives general authorization for those subprocessors. The current list is available on request at privacy@kinnectx.com;
  5. (e) taking into account the nature of the processing, give reasonable assistance with data subject requests, and with Customer's data protection impact assessments where required by law;
  6. (f) notify Customer without undue delay after becoming aware of a personal data breach affecting it, and give information Customer reasonably needs to meet its own obligations;
  7. (g) delete it as described in Section 8.6; and
  8. (h) make available information reasonably necessary to demonstrate compliance with this Section. Because the Demo Environment is free, short and limited to Sample Data, this is satisfied by written responses to reasonable questions, and does not include on-site audits.

8.4 US state privacy laws. For Personal Data covered by Section 8.2, Kinnect will not sell or share it (as those terms are defined in the California Consumer Privacy Act and similar laws), will not retain, use or disclose it outside the direct business relationship with Customer or for any purpose other than the business purposes in these Terms, and will not combine it with personal information from other sources except as those laws permit. Kinnect certifies that it understands and will comply with these restrictions.

8.5 International transfers. Kinnect is based in the United States, and data may be processed in the United States and other countries where we or our subprocessors operate. Where the law of the European Economic Area, the United Kingdom or Switzerland applies to a transfer of Personal Data covered by Section 8.2, the parties agree that the transfer is governed by the applicable Standard Contractual Clauses (Module Two, controller to processor), the UK International Data Transfer Addendum and the Swiss amendments, which are incorporated by reference, with Customer as data exporter and Kinnect as data importer, Option 2 general authorization for subprocessors, Irish law and courts for the Clauses, and the annexes completed with the information in this Section 8.

8.6 Deletion. Within 30 days after the Evaluation Period ends, we will delete or de-identify Customer Data and the Demo Environment instance issued to Customer, except copies kept in routine backups until they are overwritten in the ordinary course, or as the law requires, which stay subject to these Terms. Customer may ask for earlier deletion at privacy@kinnectx.com.

8.7 Usage Data. We may collect and use Usage Data to provide, secure, support and improve our products and services, and we may use it in aggregated or de-identified form that does not identify Customer or any individual for any lawful purpose.

9. Confidentiality

9.1 Definition. "Confidential Information" means non-public information disclosed by one party (the "Discloser") to the other (the "Recipient") in connection with the Evaluation Purpose that is marked confidential or that a reasonable person would understand to be confidential. Kinnect's Confidential Information includes the Demo Environment, its features, workflows, screens, interfaces, documentation and performance, Sample Data, pricing, product roadmaps, and non-public information shared on any call or in any demo. Customer's Confidential Information includes Customer Data and non-public information Customer shares about its plans, headcount, finances, organization, systems and processes, including answers to our questions.

9.2 Exclusions. Confidential Information does not include information that the Recipient can show: (a) is or becomes public through no fault of the Recipient; (b) the Recipient already knew without a duty of confidentiality; (c) the Recipient lawfully received from a third party without a duty of confidentiality; or (d) the Recipient independently developed without using the Discloser's Confidential Information.

9.3 Obligations. The Recipient will: (a) use the Discloser's Confidential Information only for the Evaluation Purpose and, for Kinnect, to support Customer's evaluation and any later purchase discussions; (b) not disclose it except to its and its affiliates' employees, contractors and professional advisers who need to know it for those purposes and are bound by confidentiality obligations at least as protective as these; and (c) protect it with at least the care it uses for its own similar information, and no less than reasonable care. The Recipient is responsible for any breach by the people it discloses to.

9.4 Compelled disclosure. The Recipient may disclose Confidential Information if the law or a court requires it, if it gives the Discloser prompt notice where legally allowed, reasonably cooperates if the Discloser seeks protection, and discloses only what is required.

9.5 Return or destruction. On request, or when these Terms end, the Recipient will return or destroy the Discloser's Confidential Information, except copies in routine backups or kept to comply with law, which stay subject to this Section.

9.6 Duration. These obligations last for three (3) years after the Evaluation Period ends, and for trade secrets, for as long as they remain trade secrets under applicable law.

9.7 Separate NDA. If the parties sign a separate non-disclosure agreement, that agreement controls over this Section 9 to the extent they conflict.

10. Feedback

Customer has no obligation to give Feedback. If it does, Customer grants Kinnect a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable and sublicensable license to use and exploit the Feedback for any purpose, without attribution or payment. Kinnect will not identify Customer as the source of Feedback without Customer's consent. Feedback does not include Customer's Confidential Information, other than the Feedback itself.

11. Ownership

11.1 Kinnect and its licensors own all right, title and interest, including all intellectual property rights, in and to Kinnect, the Demo Environment, Sample Data, Usage Data, and all improvements, enhancements, modifications and derivative works of any of them, whoever creates them.

11.2 As between the parties, Customer owns Customer Data. Customer grants Kinnect a limited right to host, process and display Customer Data only to provide the Demo Environment and as these Terms allow.

11.3 Third-party names, logos and marks shown in the Demo Environment (for example, of planning, HR or recruiting systems) belong to their owners and are used only to identify integrations. Their use does not mean endorsement or affiliation.

12. Disclaimers

12.1 THE DEMO ENVIRONMENT, SAMPLE DATA AND ALL OUTPUTS ARE PROVIDED FREE OF CHARGE, "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED BY LAW, KINNECT AND ITS LICENSORS DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, OR THAT THE DEMO ENVIRONMENT WILL BE UNINTERRUPTED OR ERROR-FREE.

12.2 The Demo Environment and its outputs are not financial, accounting, tax, legal, employment or investment advice, and must not be relied on to make any business, financial or employment decision. Features and performance in the Demo Environment do not commit Kinnect to any feature, function or service level in any future agreement.

13. Limitation of liability

13.1 TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL KINNECT OR ITS AFFILIATES, LICENSORS OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE DEMO ENVIRONMENT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THEIR POSSIBILITY.

13.2 TO THE FULLEST EXTENT PERMITTED BY LAW, KINNECT'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE DEMO ENVIRONMENT WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100).

13.3 These limits apply even if a remedy fails of its essential purpose. They do not limit either party's liability for fraud or for any liability that cannot be limited under applicable law, and they do not limit Customer's liability for breach of Section 7 (Restrictions), Section 6.3 (Do not enter real data), or Section 9 (Confidentiality), or for infringement or misappropriation of Kinnect's intellectual property rights.

14. Indemnity by Customer

Customer will defend, indemnify and hold harmless Kinnect and its affiliates, and their officers, directors, employees and agents, from and against any third-party claim, and related losses, damages, fines, costs and reasonable attorneys' fees, arising out of: (a) Customer Data, including any Personal Data entered in breach of Section 6.3; (b) Customer's or its Authorized User's breach of Section 7; or (c) Customer's or its Authorized User's violation of applicable law. Kinnect will give Customer prompt notice of the claim (a delay only reduces Customer's obligation to the extent it causes prejudice), reasonable cooperation at Customer's expense, and control of the defense, except that Customer may not settle any claim that imposes an obligation on or admits fault for Kinnect without Kinnect's written consent.

15. Equitable relief

A breach of Section 7, Section 9 or Section 11 may cause Kinnect irreparable harm for which money damages are not an adequate remedy. Kinnect may seek injunctive or other equitable relief for any such breach, without posting a bond, in addition to any other remedy.

16. No obligation; communications; publicity

16.1 No obligation to buy. Neither party is obliged to enter into any further agreement. Any subscription to Kinnect will be governed by a separate written agreement signed by both parties, which will supersede these Terms for any use under it. Pre-printed or click-through terms in any Customer purchase order, vendor portal or similar document do not apply to the Demo Environment.

16.2 Communications. Customer agrees that we may contact the Requester and Authorized User by email and phone about the evaluation, including to provide access instructions, offer support and schedule a follow-up call. We will send notices under these Terms to the email address in the request. Notices to Kinnect go to legal@kinnectx.com.

16.3 Publicity. Neither party will use the other's name, logo or marks, or publicly identify the other as a prospect or customer, without the other's prior written consent.

17. General

17.1 Governing law and venue. These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Each party submits to the exclusive jurisdiction of the state and federal courts located in Lee County, Florida for any dispute arising out of or relating to these Terms, except that Kinnect may seek equitable relief under Section 15 in any court of competent jurisdiction.

17.2 Export and sanctions. Customer confirms that neither it nor its Authorized User is located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive US sanctions, or is on any US government restricted party list, and that it will not access the Demo Environment from any such place.

17.3 Changes to these Terms. We may update these Terms from time to time. Updated Terms apply to any new request, extension or Evaluation Period after we publish them, or after we notify you of them. The version you accepted applies to your current Evaluation Period unless you accept a later version.

17.4 Assignment. Customer may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization or sale of all or substantially all of our assets or business. Any other attempted assignment is void.

17.5 Entire agreement. These Terms, together with our Privacy Policy and any written extension or approval we send you, are the entire agreement between the parties about the Demo Environment and supersede any prior or contemporaneous understanding about it, except as provided in Section 9.7.

17.6 Other terms. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the rest of these Terms will remain in effect. A failure to enforce any provision is not a waiver. The parties are independent contractors. There are no third-party beneficiaries. Neither party is liable for delay or failure caused by events beyond its reasonable control, except for Customer's obligations under Sections 7 and 9. "Including" means "including without limitation". Headings are for convenience only. If these Terms are translated, the English version controls.

17.7 US Government users. The Demo Environment is "commercial computer software" and related documentation provided with only the rights set out in these Terms, in line with FAR 12.212 and DFARS 227.7202, as applicable.
